Anthropic Sets Aside 5% Stake for Public Benefit Fund Ahead of Possible IPO

Anthropic plans to commit 5% of its shares to a new public benefit fund, subject to stockholder approval, creating a vehicle for donations and direct payments aimed at addressing social effects linked to artificial intelligence.

The Anthropic Public Benefit Fund will be organized as a wholly owned limited liability company. The company said it could support large nonprofit donations or distributions to specific groups, including efforts responding to disruption in labor markets. Anthropic has already committed $200 million to studying and addressing AI’s effects on workers.

The allocation could grow. Anthropic said its board may add 2% of the company’s shares for every 50% increase in its value above a baseline that has not yet been disclosed. The company said it would provide more information in coming months about the fund’s governance, structure and valuation milestones.

Anthropic said the fund’s equity will not be used for lobbying or political contributions in the United States or abroad. Other public-benefit work, including AI safety and interpretability research, applied biomedical research and discounted access to Claude for nonprofits and scientific institutions, will remain inside the company.

The new commitment builds on earlier pledges by Anthropic’s founders to donate 80% of their equity holdings and an employee program that matches equity donations. Combined with those commitments, Anthropic said roughly 20% of its shares will be dedicated to public-benefit purposes, before any additional allocations tied to future valuation increases.

Anthropic was founded as a public benefit corporation, a structure requiring directors to balance financial returns with a public-interest mission.

Anthropic said it will publish a public-benefit report covering its progress and further details about the fund in the coming months.
